ABSTRACT
The Treasury may acquire shares of one public company, designated the Primary Equity Anchor (PEA). This paper describes the resulting relationship between an on-chain community asset and an off-chain equity position, which the Institute terms Cross-Market Capital Entanglement. We model the entanglement, quantify it with a correlation that is almost certainly smaller than its name, and establish, beyond any reasonable reading, that holders of $PNZM own nothing of the Anchor.
§11. The Anchor
The Fourth Law holds that ownership is a form of power. The Primary Equity Anchor is the Treasury’s exercise of that law outside its native market: a position in the shares of a single listed company, held in THE EQUITY VAULT. The identity of the Anchor, if one is held, is disclosed separately. The selection criteria[Liquidity, longevity, and that the Three could pronounce it] are summarised in Appendix C, which does not exist.
§22. Entanglement
Cross-Market Capital Entanglement is the condition in which the Treasury’s exposure spans two markets that do not otherwise acknowledge each other. One trades continuously on a public chain at all hours. The other closes on weekends and holidays and has a dress code 3.
Let V be the value of the Equity Vault, A the Anchor share price, and s the number of shares held. The Treasury’s sensitivity to the Anchor is then:
Equation (2.1) is the central result of this paper and it is deliberately unexciting. The Treasury is exposed to the Anchor. Holders are not. A holder’s position in $PNZM responds to the market for $PNZM, which may or may not care about the Anchor, and which the Institute cannot instruct 1.
§33. Measuring the Entanglement
The Subcommittee defines the Entanglement Coefficient ε as the rolling correlation between daily returns of the token and of the Anchor:
SIMULATED. Invented correlation values hovering near zero, which is what entanglement between unrelated markets usually looks like. Not real price data.
The simulated coefficient oscillates around zero. The Subcommittee considered this a disappointment for approximately one cycle, and a vindication thereafter. A coefficient near zero confirms that the entanglement is structural rather than statistical: it lives in the Treasury’s books, not in the price.
§44. What Holders Own
For the avoidance of doubt, the Institute lists what a holder of $PNZM owns with respect to the Primary Equity Anchor:
- ▸Nothing.
Holders have no claim on Anchor shares, no voting rights in the Anchor company, no dividends from it, and no entitlement to the proceeds of its sale. The Anchor is a Treasury asset. Its existence does not make $PNZM a security backed by equity, a fund, or a share. The Anchor company itself[has, to our knowledge, not been informed of the entanglement, and we see no reason to trouble it] 2.
The honest limitation: owning shares in a company exposes the Treasury to that company’s fortunes, including declines. The entanglement is a description of exposure, not a source of value for anyone holding the token.
